الشروط والأحكام

مقدمة

تسري هذه الشروط والأحكام على العلاقة بينك، بصفتك مستخدما، وبين الجهة المشغلة لمنصة YuBao 语宝، فيما يتعلق باستخدام الموقع الإلكتروني وعالم يو باو والمساعد سراج والخدمات والمحتوى والمنتجات الرقمية المقدمة من خلالها.

باستخدامك للمنصة فإنك توافق على شروط الاستخدام التي تنطبق عليك. وعند تقديم طلب شراء يطلب منك الموافقة على شروط الشراء وسياسة عدم الاسترداد. إذا كنت لا توافق على الشروط المنطبقة فيجب عليك عدم استخدام الخدمة المعنية أو عدم إتمام الطلب.

لا يعد عرض منتج أو خدمة على الموقع، في حد ذاته، قبولا لأي طلب؛ إذ ينشأ عقد الشراء عند قبول طلبك وإرسال تأكيده إليك، وفقا للبند 13.

1التعاريف والتفسير

تكون للمصطلحات التالية المعاني الموضحة أدناه، ما لم يقتض السياق خلاف ذلك:

• الحساب: البيانات الشخصية وبيانات تسجيل الدخول وسجلات المعاملات المرتبطة باستخدامك للمنصة والوصول إلى خدماتها.
• المحتوى: النصوص والصور والرسومات والشعارات والتسجيلات الصوتية والمرئية والبرمجيات والتمارين والاختبارات والمواد التعليمية وغيرها من المعلومات المتاحة على المنصة.
• المنتجات الرقمية: المنتجات المقدمة إلكترونيا، بما في ذلك الدورات المسجلة والكتب والملفات الإلكترونية والاختبارات والمواد القابلة للتنزيل وتراخيص الوصول إلى المحتوى.
• الخدمات: الخدمات التعليمية والإلكترونية المقدمة من خلال YuBao 语宝، بما في ذلك الاشتراكات والدورات والجلسات المباشرة والأدوات التفاعلية وعالم يو باو والمساعد سراج، بحسب ما يتضمنه المنتج أو الاشتراك الذي تختاره.
• بيانات الدفع: المعلومات اللازمة لمعالجة المدفوعات من خلال وسائل الدفع المتاحة، ولا يعني ذلك أن YuBao 语宝 تخزن كامل بيانات بطاقتك المصرفية.
• النظام: وسائل التواصل والتفاعل الإلكتروني المتاحة من خلال المنصة، بما في ذلك الرسائل والتعليقات والمحادثات وروابط التواصل.
• المستخدم: أي شخص يستخدم المنصة أو خدماتها، باستثناء موظفينا عند استخدامهم لها ضمن مهامهم الوظيفية.
• المنصة أو الموقع: موقع www.yubaoedu.com ونطاقاته الفرعية، بما فيها world.yubaoedu.com، ما لم تكن لها شروط مستقلة تنص على خلاف ذلك.
• نحن أو لنا أو YuBao 语宝: شركة SYTRU GROUP LTD المشغلة لمنصة YuBao 语宝، المسجلة في المملكة المتحدة (إنجلترا وويلز) برقم الشركة 16586462. بريد التواصل: info@yubaoedu.com.

تستخدم العناوين لتنظيم النص فقط، ولا تؤثر في تفسير أحكامه.

2القيود العمرية

يجب على المستخدمين الذين تقل أعمارهم عن 18 عاما استخدام المنصة بموافقة ولي الأمر أو الوصي القانوني وتحت إشرافه. ويجب أن تتم عمليات الشراء باستخدام وسيلة دفع يملكها شخص مخول باستخدامها أو بموافقته الصريحة، مع مراعاة متطلبات الأهلية القانونية المعمول بها.

3العملاء التجاريون

تنطبق هذه الشروط أيضا على المؤسسات والعملاء الذين يشترون الخدمات لأغراض تجارية أو لتدريب موظفيهم أو طلابهم. ويقر من يشتري نيابة عن جهة أخرى بأنه مخول بإلزامها بهذه الشروط. وإذا وجد عقد مؤسسي مستقل، فتسري أحكامه على المسائل التي ينظمها صراحة، مع مراعاة القوانين الإلزامية.

4الملكية الفكرية

• تعود حقوق المحتوى الموجود على المنصة، باستثناء محتوى المستخدمين، إلى YuBao 语宝 أو الجهات المرخصة أو أصحاب الحقوق المعنيين، ويشمل ذلك العلامات التجارية والشعارات والشخصيات والمواد التعليمية والتسجيلات والتصميمات والبرمجيات.
• يمنحك شراء المنتج أو الاشتراك ترخيصا محدودا وغير حصري وغير قابل للنقل لاستخدام المحتوى لأغراضك التعليمية الشخصية خلال مدة الوصول المحددة، ولا ينقل إليك ملكية المحتوى أو حقوق استغلاله تجاريا.
• لا يجوز نسخ المحتوى أو تسجيله أو نشره أو بيعه أو إعادة توزيعه أو إتاحته للآخرين أو إزالة العلامات المائية أو تجاوز وسائل الحماية، إلا بإذن كتابي منا أو في الحدود التي يجيزها القانون.
• يجوز تنزيل المواد التي تتيح المنصة تنزيلها صراحة للاستخدام المسموح به فقط، ولا تشمل صلاحية التنزيل حق إعادة النشر أو المشاركة التجارية.

5الملكية الفكرية للأطراف الثالثة

• تبقى حقوق الكتب والمراجع والعلامات التجارية والمواد الخاصة بالأطراف الثالثة مملوكة لأصحابها، ولو ظهرت ضمن الدروس أو أوصاف المنتجات.
• لا يعد ظهور اسم جهة تعليمية أو كتاب أو اختبار (مثل HSK) على المنصة دليلا على وجود شراكة أو اعتماد رسمي، إلا إذا ذكر ذلك صراحة.
• يخضع استخدام مواد الأطراف الثالثة لتراخيصها والقوانين المعمول بها، ولا يجوز إعادة استخدامها خارج النطاق المسموح به.

6الاستخدام المسموح به للمحتوى

لا تحد هذه الشروط من أي استثناء قانوني واجب التطبيق يتعلق بحقوق النشر، مثل الاقتباس أو الاستخدام التعليمي المسموح به، متى استوفيت شروطه. ولا تعني إتاحة المحتوى مجانا أنه أصبح متاحا لإعادة النشر أو البيع أو الاستخدام غير المقيد.

7الروابط إلى مواقع أخرى

قد تتضمن المنصة روابط إلى مواقع أو خدمات خارجية لا نديرها، وتخضع تلك الخدمات لشروطها وسياسات الخصوصية الخاصة بها. ولا يعني إدراج الرابط اعتماد الموقع الخارجي أو ضمان محتواه، ولا نتحمل مسؤولية تصرفات الأطراف الخارجية المستقلة إلا بالقدر الذي يفرضه القانون أو ينشأ عن التزاماتنا التعاقدية.

8الروابط المؤدية إلى المنصة

يجوز وضع رابط إلى الصفحة الرئيسية للموقع، بشرط أن يكون الاستخدام مشروعا وألا يوحي بعلاقة رسمية أو شراكة أو تأييد غير موجود. ويتطلب تضمين محتوى المنصة داخل موقع آخر، أو إنشاء روابط تتيح تجاوز تسجيل الدخول أو قيود الوصول، إذنا كتابيا مسبقا عبر info@yubaoedu.com.

9استخدام وسائل التواصل والمجتمع

• يجب استخدام وسائل التواصل والتعليقات والمجتمعات التعليمية ومجموعات تيليجرام باحترام ولأغراض مشروعة.
• يحظر نشر أو إرسال محتوى مسيء أو تهديدي أو تشهيري أو تمييزي أو خادش للحياء، أو يحرض على العنف أو يخالف حقوق الآخرين، بأي لغة.
• يحظر انتحال الشخصيات، أو الادعاء بتمثيل YuBao 语宝 دون تفويض، أو إرسال الرسائل المزعجة والإعلانات غير المصرح بها.
• يمكنك التواصل معنا بالعربية أو الإنجليزية أو الصينية، وقد يتوفر الدعم بلغات أخرى بحسب الإمكانات.
• يجوز لنا مراجعة المحتوى وإزالة المخالفات وتقييد الحسابات عند الضرورة لحماية المستخدمين والمنصة، وفقا للقانون وسياسة الخصوصية.
• تبقى حقوق المحتوى الذي تنشئه وترسله مملوكة لك، وتمنحنا إذنا غير حصري لاستخدامه بالقدر اللازم لاستضافته وعرضه وتشغيل الخدمة التي أرسلته من خلالها. ولا يشمل هذا الإذن استخدام اسمك أو صورتك أو مراسلاتك الخاصة في الإعلانات دون موافقتك.

10الحسابات

• قد يلزم إنشاء حساب للوصول إلى بعض الخدمات، ويجب أن تكون بياناتك صحيحة ومحدثة، وأن تكون مخولا باستخدام وسيلة الدفع المقدمة.
• الحساب مخصص لصاحبه، ولا يجوز مشاركته أو بيعه أو نقله لشخص آخر ما لم تسمح الخطة بذلك صراحة.
• أنت مسؤول عن حماية كلمة المرور ورموز التحقق. وإذا اشتبهت في وصول غير مصرح به أو عملية دفع غير معروفة فأبلغنا فورا عبر info@yubaoedu.com.
• نتعامل مع بلاغات الوصول غير المصرح به وفقا للوقائع والقانون وشروط مزود الدفع، ولا تفسر هذه الشروط على أنها تحملك تلقائيا مسؤولية جميع العمليات غير المصرح بها.
• يجب أن يلتزم اسم المستخدم بأحكام البند 9.

11تعليق الحسابات وإنهاؤها

• يمكنك طلب إغلاق حسابك بالتواصل معنا، ولا يؤدي إغلاق الحساب بذاته إلى استحقاق استرداد مالي، مع مراعاة البند 14.
• يجوز لنا تعليق الحساب أو تقييده أو إنهاؤه عند وجود مخالفة جوهرية للشروط أو احتيال (بما فيه التلاعب بالنقاط والجوائز) أو تهديد أمني أو التزام قانوني يستلزم ذلك.
• نوضح سبب الإجراء متى كان ذلك ممكنا ومسموحا، ونتيح فرصة مناسبة لمعالجة المخالفة عندما تكون قابلة للتصحيح ولا تستلزم إجراء فوريا.
• لا يسقط التعليق أو الإنهاء الحقوق المالية أو التعويضات التي يوجبها القانون. وإذا تعذر علينا تقديم خدمة مدفوعة لسبب يعود إلينا، تعالج المبالغ المتعلقة بها وفقا للبند 14.

12الخدمات والأسعار والتوفر

• يحدد وصف المنتج وصفحة الشراء الخدمات المشمولة، والمستوى التعليمي، ومدة الوصول، وأي متطلبات أو قيود أساسية؛ فنرجو مراجعتها قبل الشراء. ولا تشمل أي خطة خدمات أو دورات مستقبلية إلا إذا ذكر ذلك صراحة.
• تعرض الأسعار والعملة والضرائب والرسوم الإضافية، إن وجدت، قبل إتمام الدفع. ويجوز تعديل الأسعار والعروض للمشتريات المستقبلية دون أثر رجعي على طلب سبق تأكيده.
• إذا كان الاشتراك متجددا تلقائيا، فستعرض قيمة التجديد ودورته وطريقة إلغائه قبل الشراء، وتطبق متطلبات الإشعار والموافقة النظامية.
• لا نضمن نتيجة تعليمية محددة أو درجة اختبار أو قبولا جامعيا أو منحة أو فرصة عمل؛ فالنتائج تعتمد على مستوى المستخدم والتزامه وممارسته.
• توثق شهادة الإتمام استكمال متطلبات الدورة التي تتضمنها، ولا تعد شهادة اختبار HSK رسمية أو مؤهلا أكاديميا معتمدا ما لم ينص صراحة على اعتماد محدد.

13الطلبات وتقديم الخدمات

• يعد طلب الشراء عرضا منك للحصول على المنتج أو الخدمة، ويقبل عند إرسال تأكيد القبول إلى بريدك الإلكتروني. ويتضمن التأكيد وصف المنتج، والمبلغ والعملة، ومدة الوصول، وطريقة الوصول.
• إذا لم نقبل الطلب بعد تحصيل المبلغ، نعيده دون تأخير غير مبرر وخلال مدة لا تتجاوز 14 يوما تقويميا، أو المدة الأقصر التي يفرضها القانون.
• تحصل المدفوعات وفقا للسعر وطريقة الدفع وجدول الفوترة المعروض عند الشراء، ولا ينشأ اشتراك دوري لمجرد شراء منتج بدفعة واحدة.
• يبدأ الوصول وفقا للموعد الموضح عند الشراء، وإذا لم يحدد موعد نسعى لتفعيله خلال يومين إلى 3 أيام عمل بعد تأكيد الدفع، مع إشعارك بأي تأخير جوهري.
• نبذل العناية والمهارة المعقولتين لتقديم الخدمات وفقا لوصفها. وإذا حصلت على محتوى أو صلاحية غير مطابقة لطلبك، فأبلغنا لنعالج المشكلة.
• يتطلب الاستخدام جهازا ومتصفحا واتصالا بالإنترنت متوافقا مع المتطلبات المعلنة، وقد تحدث انقطاعات مؤقتة للصيانة أو لأسباب تقنية، دون الإخلال بحقوقك النظامية عند تعطل خدمة مدفوعة.
• يقدم الدعم عبر info@yubaoedu.com والمحادثة المباشرة وسراج، ولا نضمن مدة استجابة محددة إلا إذا كانت مذكورة ضمن الخطة المشتراة.
• قد تسجل الجلسات التعليمية المباشرة وتتاح للمراجعة، ونوضح ذلك للمشاركين ونحصل على الموافقات اللازمة وفقا للقانون وسياسة الخصوصية.

14سياسة الإلغاء وعدم الاسترداد

14.1 المشتريات الرقمية نهائية

لا تقدم YuBao 语宝 سياسة استرجاع أو استرداد اختيارية للمنتجات الرقمية أو الاشتراكات أو الخدمات التعليمية بعد إتمام الشراء، إلا إذا أوجب القانون الاسترداد. وتشمل هذه السياسة الدورات المسجلة، والملفات والكتب الإلكترونية، والاختبارات، وتراخيص الوصول، والاشتراكات، والأدوات التفاعلية، وخدمات الذكاء الاصطناعي، والجلسات التعليمية المدفوعة.

14.2 تغيير الرأي وعدم الاستخدام

مع مراعاة الحقوق القانونية الإلزامية، لا يقبل طلب استرداد بسبب تغيير الرأي، أو عدم استخدام الحساب، أو عدم إكمال الدروس، أو عدم حضور جلسة، أو الظروف الشخصية، أو تفضيلات لم تكن جزءا من وصف المنتج المتفق عليه. ولا يؤدي حذف الحساب أو التوقف عن الاستخدام إلى إلغاء المبالغ المستحقة أو استردادها.

14.3 بدء إتاحة المحتوى الرقمي

إذا طلبت إتاحة المحتوى الرقمي خلال فترة تراجع قانونية، نطلب موافقتك الصريحة المسبقة وإقرارك بأثر بدء التنفيذ على حق التراجع حيث يشترط القانون ذلك، ولا يعد مجرد الدفع أو قبول الشروط العامة بديلا عن أي موافقة مستقلة يتطلبها القانون.

14.4 حقوق التراجع القانونية

إذا كانت قوانين حماية المستهلك الواجبة التطبيق تمنحك حقا إلزاميا في التراجع أو الإلغاء، فإن هذا الحق يبقى نافذا ما لم تتحقق شروط الاستثناء القانوني. وعندما تنطبق قواعد الاتحاد الأوروبي قد يسري حق تراجع لمدة 14 يوما؛ وبالنسبة للمحتوى الرقمي غير المقدم على وسيط مادي، لا يسقط هذا الحق إلا بعد بدء التنفيذ واستيفاء متطلبات الموافقة والإقرار اللازمة. ولا يعامل مجرد تفعيل الحساب على أنه تنفيذ كامل للخدمات.

14.5 حالات لا تستبعدها سياسة عدم الاسترداد

لا تمنع هذه السياسة رد المبالغ أو أي معالجة يوجبها القانون، بما في ذلك عدم تقديم الخدمة المتفق عليها، أو وجود عيب جوهري أو عدم مطابقة، أو تحصيل مبلغ مكرر عن المعاملة نفسها، أو ثبوت عملية دفع غير مصرح بها.

14.6 الإبلاغ والمعالجة

أرسل رقم الطلب والبريد المرتبط بالحساب ووصف المشكلة إلى info@yubaoedu.com، دون إرسال كلمات المرور أو كامل بيانات البطاقة. نراجع الطلب ونرد أي مبلغ مستحق قانونا إلى وسيلة الدفع الأصلية متى أمكن، دون تأخير غير مبرر وضمن المواعيد القانونية.

14.7 إلغاء التجديد

إذا كان اشتراكك يتجدد تلقائيا، يمكنك إلغاء التجديد بالطريقة والموعد الموضحين عند الشراء أو بالتواصل معنا. يوقف الإلغاء الرسوم المستقبلية التي لم تستحق بعد، ولا يمنح بذاته حق استرداد رسوم الفترة الحالية، ويستمر الوصول حتى نهاية الفترة المدفوعة.

14.8 التسهيلات الاستثنائية

كل المشتريات نهائية. لا نوفر تجميدا للاشتراك أو استرجاعا اختياريا بعد الشراء، دون الإخلال بالحقوق القانونية الإلزامية.

15الذكاء الاصطناعي والمحتوى التفاعلي

• نستخدم أدوات ذكاء اصطناعي وترجمة وتوصيات تعليمية ضمن بعض الخدمات، مثل سراج وكايكو وقاموسي.
• قد تنتج هذه الأنظمة معلومات غير دقيقة أو غير مكتملة، أو أخطاء في الترجمة أو النطق أو التقييم، أو معلومات مختلقة تعرف باسم هلوسات الذكاء الاصطناعي.
• المخرجات للمساعدة في التعلم، ولا تعد بديلا عن التحقق أو مراجعة المعلم أو التقييم الرسمي، ولا تمثل استشارة قانونية أو طبية أو مالية أو مهنية.
• إلى الحد الذي يسمح به القانون، لا نضمن خلو المخرجات من الأخطاء، ولا نتحمل الخسائر غير المباشرة الناشئة عن الاعتماد غير المناسب عليها، دون استبعاد أي مسؤولية لا يجوز استبعادها قانونا.
• يجوز تحديث هذه الأدوات أو تعديلها لأسباب تعليمية أو تقنية أو أمنية، وإذا أثر التغيير جوهريا في ميزة مدفوعة متفق عليها فسنراعي التزاماتنا التعاقدية وحقوقك النظامية. ولا تعد الإشارة إلى ميزة هنا ضمانا بأنها متاحة حاليا أو مشمولة في كل اشتراك؛ ويرجع في ذلك إلى وصف الخطة وقت الشراء.

16المعلمون الآليون: سراج والمعلم الذكي

• سراج مساعد آلي يرد على أسئلتك عن المنصة ويرسل لك تذكيرات الدراسة والمراجعة وتقارير تقدمك على تيليجرام، وقد يتوفر على واتساب وإنستغرام. ويمكنك إيقاف التذكيرات في أي وقت من قائمته (/menu). وتخضع هذه القنوات أيضا لشروط مزوديها.
• في مجموعات يو باو يجيب سراج على الأسئلة العامة فقط، ولا يعرض بياناتك الشخصية إلا في محادثتك الخاصة معه.
• المعلم الذكي في كايكو يساعدك تتدرب على النطق بدروس جاهزة، وقد يخطئ أحيانا، وشرح الدرس والكتاب هما المرجع. ويخضع استخدامه لحدود يومية.
• يجب استخدام هذه الأدوات بصورة مشروعة: يحظر إنشاء محتوى غير قانوني أو احتيالي أو ضار أو بذيء، أو انتهاك حقوق الآخرين، أو محاولة تجاوز الحماية أو تعطيل الأنظمة. ولا تدخل كلمات المرور أو البيانات المصرفية أو المعلومات الحساسة.
• قد تعالج المحادثات والمدخلات وسجلات الاستخدام لتشغيل الخدمة وأمنها ومنع إساءة الاستخدام وتحسينها، وفقا لسياسة الخصوصية. ولا يمثل قبول هذه الشروط موافقة على استخدام بياناتك لتدريب نماذج الأطراف الأخرى.
• قد تختلف الردود بين الجلسات واللغات وإصدارات النماذج، ولا يعني ذلك تغير المنهج أو تقييما رسميا لمستواك.

17عالم يو باو: النقاط والشعلات والجوائز

• تكسب نقاطا وشعلات مقابل نشاطك التعليمي (مثل إكمال الدروس، وإكمال دروس المعلم الذكي وجلسات التدريب في كايكو، والكتابة الصحيحة في بيمو)، وتعرض قواعدها الحالية داخل المنصة.
• ساحة يو باو: تحدي 60 ثانية متاح للتدريب في أي وقت، أما الجوائز فتحتسب في ليلة البطولة في مواعيدها المعلنة فقط.
• النقاط والشعلات والبطاقات والمراتب ليست لها قيمة نقدية، ولا يمكن بيعها أو شراؤها أو استبدالها بمال، ولا تنقل بين الحسابات.
• الجوائز المعلنة (مثل شهر الاشتراك المجاني لأبطال يو باو) تخضع لشروطها المعلنة، ويجوز إهداؤها لصديق فقط إذا أتاحت المنصة ذلك صراحة.
• يحق لنا إلغاء النقاط أو النتائج أو الجوائز التي تحققت بالغش أو الأتمتة أو استغلال الأخطاء أو تعدد الحسابات، وتقييد الحساب المخالف.
• يجوز لنا تعديل قواعد النقاط والجوائز والمواعيد أو إيقافها لأسباب تعليمية أو تقنية، مع إعلان التغييرات الجوهرية مسبقا، ودون المساس بجائزة استحققتها فعلا وفق القواعد السارية وقتها.
• لا تتضمن أنشطة عالم يو باو أي شراء أو مراهنة، ومشاركتك فيها مجانية.

18أدوات التدريب وقاموسي

• تقييم النطق في كايكو تقريبي ولغرض التدريب، ولا يعد تقييما رسميا لمستواك.
• في قاموسي قد تكمل معاني الكلمات ونطقها آليا عند عدم توفرها في قاموسنا، وقد تحتوي أخطاء؛ ويمكنك حذف أي كلمة أو تغيير تصنيفها في أي وقت.
• مواعيد المراجعة الذكية اقتراحات لمساعدتك على التثبيت، ولا تضمن نتيجة معينة.

19تعديل الشروط

قد نعدل هذه الشروط عند إضافة خدمات جديدة أو تغير القوانين أو لأسباب تشغيلية. ننشر النسخة المحدثة هنا مع تاريخ التحديث، ونشعرك بالتغييرات الجوهرية عبر الموقع أو البريد أو سراج. ولا تسري التعديلات بأثر رجعي على طلب سبق تأكيده.

20حل الخلافات

إذا واجهتك أي مشكلة فتواصل معنا أولا عبر info@yubaoedu.com، وسنسعى لحلها وديا خلال 30 يوما. ولا تخل هذه الشروط بأي حق إلزامي تمنحك إياه قوانين حماية المستهلك في بلد إقامتك.

Introduction

These Terms and Conditions govern the relationship between you, as a user, and the operator of YuBao 语宝 in connection with the website, YuBao World, the “Siraj” assistant, and the services, content and digital products provided through them.

By using the platform, you agree to the usage terms that apply to you. When placing an order, you will be asked to accept the purchase terms and the No-Refund Policy. If you do not agree to the applicable terms, you must not use the relevant service or complete the order.

Displaying a product or service on the website does not, by itself, constitute acceptance of an order. A purchase contract is formed when we accept your order and send confirmation, as described in Clause 13.

1Definitions and interpretation

Unless the context requires otherwise:

• “Account” means the personal information, login credentials and transaction records associated with your use of the platform.
• “Content” means the text, images, graphics, logos, audio and video recordings, software, exercises, assessments, learning materials and other information available on the platform.
• “Digital Products” means products supplied electronically, including recorded courses, electronic books and files, assessments, downloadable materials and licences to access content.
• “Services” means the educational and electronic services provided through YuBao 语宝, including subscriptions, courses, live sessions, interactive tools, YuBao World and the Siraj assistant, as included in your selected product or subscription.
• “Payment Information” means the information needed to process payments through the available payment methods; it does not mean that YuBao 语宝 stores your full card details.
• “System” means the electronic communication and interaction facilities available on the platform, including messages, comments, chats and contact links.
• “User” means any person using the platform or its services, excluding our staff acting in the course of their employment.
• “Platform” or “Website” means www.yubaoedu.com and its subdomains, including world.yubaoedu.com, unless separate terms expressly apply.
• “We”, “Us”, “Our” or “YuBao 语宝” means SYTRU GROUP LTD, the operator of the YuBao 语宝 platform, a company registered in England and Wales under company number 16586462. Contact: info@yubaoedu.com.

Headings are for convenience only and do not affect interpretation.

2Age restrictions

Users under 18 must use the platform with the consent and supervision of a parent or legal guardian. Purchases must be made with a payment method belonging to an authorised person or with that person’s express permission, subject to applicable legal-capacity requirements.

3Business customers

These Terms also apply to organisations purchasing Services for business purposes or to train employees or students. Anyone purchasing on behalf of an organisation represents that they are authorised to bind it. Where a separate institutional agreement exists, its provisions govern the matters it expressly addresses, subject to mandatory law.

4Intellectual property

• Rights in the Content, excluding user-generated content, belong to YuBao 语宝, its licensors or the relevant rights holders, including trademarks, logos, characters, learning materials, recordings, designs and software.
• A purchase grants you a limited, non-exclusive, non-transferable licence to use the Content for personal learning during the access period. It does not transfer ownership or commercial rights.
• You must not copy, record, publish, sell, redistribute or make the Content available to others, remove watermarks, or bypass protection measures, except with our written permission or as permitted by law.
• Materials expressly offered for download may be downloaded for the permitted use only; this does not include republication or commercial sharing.

5Third-party intellectual property

• Rights in third-party books, references, trademarks and materials remain with their owners, even where they appear in lessons or product descriptions.
• Mentioning an institution, publication or examination (such as HSK) does not imply an official partnership or accreditation unless expressly stated.
• Third-party materials remain subject to their licences and applicable law and must not be reused outside the permitted scope.

6Permitted use of content

These Terms do not limit any applicable statutory copyright exception, such as quotation or permitted educational use, where its legal requirements are met. Making Content available free of charge does not make it available for unrestricted republication, resale or other use.

7Links to other websites

The platform may link to external websites or services we do not operate; those are subject to their own terms and privacy policies. A link is not an endorsement or guarantee, and we are not responsible for independent third parties except where the law or our contractual obligations require.

8Links to this platform

You may link to the website’s home page provided the link is lawful and does not falsely imply an official relationship, partnership or endorsement. Embedding platform Content elsewhere, or creating links that bypass login or access restrictions, requires our prior written permission via info@yubaoedu.com.

9Communications and community

• Communication tools, comments, learning communities and Telegram groups must be used respectfully and lawfully.
• You must not post or send abusive, threatening, defamatory, discriminatory or indecent content, or content that incites violence or infringes others’ rights, in any language.
• Impersonation, falsely claiming to represent YuBao 语宝, spam and unauthorised advertising are prohibited.
• You may contact us in Arabic, English or Chinese; support in other languages may be available depending on resources.
• We may review content, remove violations and restrict accounts where necessary to protect users and the platform, in accordance with law and our Privacy Policy.
• You retain ownership of the content you create and grant us a non-exclusive permission to use it as necessary to host, display and operate the relevant service. This does not include using your name, image or private correspondence in advertising without your consent.

10Accounts

• An Account may be required for certain Services. Your information must be accurate and current, and you must be authorised to use the payment method provided.
• Your Account is personal and must not be shared, sold or transferred unless your plan expressly permits it.
• You are responsible for protecting your password and verification codes. Notify us promptly at info@yubaoedu.com if you suspect unauthorised access or an unfamiliar payment.
• Reports of unauthorised access are handled according to the facts, applicable law and the payment provider’s terms; these Terms do not automatically make you liable for every unauthorised transaction.
• Your username must comply with Clause 9.

11Suspension and termination

• You may request closure of your Account by contacting us; closure does not by itself create a refund entitlement, subject to Clause 14.
• We may suspend, restrict or terminate an Account for a material breach, fraud (including manipulation of points or prizes), a security threat, or a legal obligation.
• Where possible and lawful, we explain the reason and give a reasonable opportunity to remedy a breach that can be corrected and does not require immediate action.
• Suspension or termination does not remove financial rights or remedies required by law. If we cannot provide a paid Service for a reason attributable to us, the related payment is addressed under Clause 14.

12Services, pricing and availability

• The product description and checkout specify the included Services, learning level, access period and essential requirements; please review them before purchasing. A plan does not include future Services or courses unless expressly stated.
• Prices, currency, taxes and any additional charges are shown before payment. Prices and promotions may change for future purchases without retrospective effect on confirmed orders.
• If a subscription renews automatically, the renewal price, billing cycle and cancellation method are disclosed before purchase, and applicable notice and consent requirements are followed.
• We do not guarantee a particular learning outcome, exam score, university admission, scholarship or job; results depend on the user’s level, commitment and practice.
• A certificate of completion records completion of a course’s requirements. It is not an official HSK certificate or an accredited academic qualification unless a specific accreditation is expressly stated.

13Orders and provision of services

• Your order is an offer to purchase and is accepted when we email an acceptance confirmation stating the product, price and currency, access period and access instructions.
• If we decline an order after collecting payment, we return the amount without undue delay and within 14 calendar days, or any shorter period required by law.
• Payments are collected according to the price, payment method and billing schedule disclosed at purchase; a one-time purchase does not create a recurring subscription.
• Access begins at the time specified at purchase; if none is specified, we aim to activate it within 2 to 3 working days after payment confirmation and notify you of any material delay.
• We use reasonable care and skill to provide the Services as described. If the Content or access supplied does not match your order, please tell us so we can fix it.
• Use requires a compatible device, browser and internet connection. Temporary interruptions may occur for maintenance or technical reasons, without prejudice to your statutory rights where a paid Service fails.
• Support is available at info@yubaoedu.com, via live chat and through Siraj; no particular response time is guaranteed unless included in your plan.
• Live sessions may be recorded and made available for review; we inform participants and obtain any necessary consent in accordance with law and our Privacy Policy.

14Cancellation and No-Refund Policy

14.1 Digital purchases are final

YuBao 语宝 does not offer a voluntary return or refund policy for Digital Products, subscriptions or educational Services after purchase, unless the law requires a refund. This covers recorded courses, electronic files and books, assessments, access licences, subscriptions, interactive tools, AI services and paid educational sessions.

14.2 Change of mind and non-use

Subject to mandatory legal rights, refunds are not provided for change of mind, non-use of an Account, not completing lessons, missing a session, personal circumstances, or preferences that were not part of the agreed product description. Deleting an Account or ceasing to use a Service does not cancel or refund amounts due.

14.3 Starting digital content supply

If you request access to Digital Content during a statutory withdrawal period, we obtain your prior express consent and acknowledgement of its effect on your withdrawal right where the law requires. Payment or acceptance of general terms alone does not replace any separate consent the law requires.

14.4 Statutory withdrawal rights

Any mandatory withdrawal or cancellation right granted by applicable consumer law remains effective unless the legal requirements for an exception are met. Where EU rules apply, a 14-day withdrawal right may apply; for Digital Content not supplied on a physical medium, that right is lost only after performance begins and the legally required consent and acknowledgement are given. Activating an Account alone is not treated as full performance of Services.

14.5 Matters not excluded

This policy does not prevent refunds or remedies required by law, including where the agreed Service is not supplied, there is a material defect or lack of conformity, the same transaction is charged twice, or a payment is established to be unauthorised.

14.6 Reporting and resolution

Send your order number, Account email and a description of the issue to info@yubaoedu.com, without passwords or full card details. We review the request and return any legally refundable amount to the original payment method where possible, without undue delay and within statutory deadlines.

14.7 Cancelling renewal

If your subscription renews automatically, you may cancel renewal using the method and deadline disclosed at purchase, or contact us for help. Cancelling stops future charges not yet due; it does not by itself refund the current paid period, and access continues until that period ends.

14.8 Exceptional accommodations

All purchases are final. We do not offer subscription freezing or voluntary refunds after purchase, without affecting mandatory legal rights.

15Artificial intelligence and interactive content

• We use AI, translation and learning-recommendation tools within certain Services, such as Siraj, KAIKOU and “My Dictionary”.
• These systems may produce inaccurate or incomplete information, translation, pronunciation or assessment errors, or fabricated information commonly called “AI hallucinations”.
• Outputs support learning; they do not replace verification, teacher review or formal assessment, and are not legal, medical, financial or professional advice.
• To the extent permitted by law, we do not guarantee error-free outputs and are not liable for indirect losses from inappropriate reliance on them, without excluding liability that cannot lawfully be excluded.
• Tools may be updated for educational, technical or security reasons; where a change materially affects an agreed paid feature, we will respect our contractual obligations and your statutory rights. Mentioning a feature here does not guarantee that it is currently available or included in every plan; the plan description at purchase governs.

16Automated tutors: Siraj and the AI teacher

• Siraj is an automated assistant that answers questions about the platform and sends study and review reminders and progress reports on Telegram, and may be available on WhatsApp and Instagram. You can stop reminders at any time from its menu (/menu). These channels are also subject to their providers’ terms.
• In YuBao groups, Siraj answers general questions only and shows your personal data only in your private chat.
• The AI teacher in KAIKOU helps you practise pronunciation with ready-made lessons; it may make mistakes, and the lesson explanation and the textbook remain the reference. Its use is subject to daily limits.
• Use these tools lawfully: do not generate unlawful, fraudulent, harmful or obscene content, infringe others’ rights, bypass safeguards or disrupt systems, and do not enter passwords, banking details or sensitive information.
• Conversations, inputs and usage records may be processed to operate, secure and improve the Service and prevent misuse, in accordance with our Privacy Policy. Accepting these Terms is not consent to use your data to train third-party models.
• Responses may vary between sessions, languages and model versions; this is not a curriculum change or a formal assessment of your level.

17YuBao World: points, flames and prizes

• You earn points and flames for learning activity (such as completing lessons, completing AI-teacher lessons and practice sessions in KAIKOU, and correct writing in BIMO); the current rules are shown on the platform.
• YuBao Arena: the 60-second challenge is available for practice at any time; prizes are awarded only during “Tournament Night” at its announced times.
• Points, flames, cards and ranks have no cash value, cannot be sold, bought or exchanged for money, and are not transferable between accounts.
• Announced prizes (such as a free subscription month for YuBao Champions) are subject to their published conditions and may be gifted to a friend only where the platform expressly allows it.
• We may cancel points, results or prizes obtained through cheating, automation, exploiting bugs or multiple accounts, and restrict the offending Account.
• We may change or suspend points, prize rules and schedules for educational or technical reasons, announcing material changes in advance, without affecting a prize you already earned under the rules in force at the time.
• YuBao World activities involve no purchase or betting; participation is free.

18Practice tools and “My Dictionary”

• KAIKOU pronunciation scores are approximate and for practice only; they are not a formal assessment of your level.
• In “My Dictionary”, word meanings and pronunciations may be completed automatically when not in our dictionary and may contain errors; you can delete a word or change its label at any time.
• Smart-review schedules are suggestions to help retention and do not guarantee a particular result.

19Changes to these Terms

We may amend these Terms when we add services, when laws change, or for operational reasons. We publish the updated version here with its date and notify you of material changes on the website, by email or through Siraj. Changes do not apply retrospectively to confirmed orders.

20Resolving disputes

If you have any issue, please contact us first at info@yubaoedu.com; we will try to resolve it amicably within 30 days. Nothing in these Terms affects any mandatory right you have under the consumer-protection laws of your country of residence.
